THE HERE & SAFE PARTIES DO NOT WARRANT THAT: (A) THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (B) ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT; (C) ANY PRODUCT OR SERVICE WILL BE LAUNCHED OR MADE AVAILABLE TO YOU; OR (D) ANY INFORMATION WILL PREVENT OR REDUCE ANY RISK OF INJURY, LOSS, OR HARM AT ANY EVENT OR LOCATION. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SITE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
10
(A) IN NO EVENT WILL THE HERE & SAFE PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SITE, ITS CONTENT, ANY EMAIL UPDATES, OR THESE TERMS;
(B) THE HERE & SAFE PARTIES WILL NOT BE LIABLE FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER LOSS OR HARM ARISING FROM YOUR ATTENDANCE AT OR PARTICIPATION IN ANY EVENT, YOUR RELIANCE ON ANY SITE CONTENT, OR THE CONDUCT OF ANY THIRD PARTY; AND
(C) THE TOTAL AGGREGATE LIABILITY OF THE HERE & SAFE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
THESE LIMITATIONS APPLY TO ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, EVEN IF THE HERE & SAFE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND US.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT.
11
We may assume the exclusive defense and control of any matter for which you are required to indemnify us, at your expense, and you agree to cooperate with our defense of such matter. You may not settle any such matter without our prior written consent.
12
Any Dispute that is not subject to arbitration under these Terms must be brought exclusively in the state or federal courts located in New Castle County, Delaware. You and we each consent to the personal jurisdiction of those courts and waive any objection to venue there, including any objection based on inconvenient forum. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property or the security of the Site.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE.
To the fullest extent permitted by law, any Dispute must be commenced within one (1) year after the cause of action arises; otherwise, it is permanently barred.
13
(a) Informal Resolution. Before starting arbitration, the party raising a Dispute must send written notice describing the Dispute and the relief sought. You must send notice to us through the contact form on this page and select “Legal notice” in the Reason field. We may send notice to you using the contact information you provided. The parties will attempt in good faith to resolve the Dispute informally for sixty (60) days after the notice is received.
(b) Binding Arbitration. Any Dispute not resolved informally will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules & Procedures, or its Comprehensive Arbitration Rules & Procedures where the Streamlined Rules do not apply, and the JAMS Policy on Consumer Arbitrations Pursuant to Pre-Dispute Clauses Minimum Standards of Procedural Fairness, each as in effect when the arbitration is commenced, before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitrator will decide all issues, including the scope and enforceability of this Section, except that a court will decide any issue concerning the Class Action Waiver in subsection (d) or the enforceability of subsection (e). Any hearing may be conducted by video conference or, if you prefer, in the county where you reside. Your share of arbitration fees will not exceed the amount permitted by the JAMS Minimum Standards, and we will pay any remaining JAMS administrative and arbitrator fees.
(c) Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court for the infringement or misuse of intellectual property.
(d) Class Action Waiver. YOU AND WE MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person or award relief to anyone other than the individual party bringing the claim.
(e) Mass Filings. If twenty-five (25) or more similar demands for arbitration are filed against us by or with the assistance of the same or coordinated counsel, they will be administered under the JAMS Mass Arbitration Procedures and Guidelines.
(f) Your Right to Opt Out. To opt out of arbitration, submit the form on this page within thirty (30) days after you first agree to these Terms, select “Arbitration opt-out” in the Reason field, and use the same email address you submitted to Here & Safe. You do not need to provide a reason for opting out. We will also treat any timely submission that clearly communicates an intent to opt out of arbitration as an opt-out request.
(g) Severability of This Section. If the Class Action Waiver is found unenforceable as to any Dispute, that Dispute—and only that Dispute—will proceed in court under Section 12 and not in arbitration. If any other part of this Section is found unenforceable, the remainder will continue to apply.
(h) Changes. Any change to this Section will not apply to a Dispute of which we had actual notice before the change took effect.
14
Changes and Availability
We may modify, suspend, or discontinue any part of the Site at any time without notice or liability. We may update these Terms from time to time by posting a revised version with a new effective date. If we make material changes, we will provide reasonable notice, such as by using the contact information you provided or by posting a notice on the Site.
Changes take effect on the stated effective date, and your continued use of the Site or continued subscription to email updates after that date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site and unsubscribe from email updates. Changes to Section 13 are subject to Section 13(h).

General Terms
Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Here & Safe LLC regarding the Site and supersede all prior or contemporaneous agreements, proposals, or communications regarding the Site.
Severability. Except as provided in Section 13(g), if any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
No Waiver. Our failure or delay in exercising or enforcing any right or provision of these Terms is not a waiver of that right or provision. Any waiver is effective only if made in writing and signed by us.
Assignment. You may not assign or transfer these Terms, or any rights or obligations under them, by operation of law or otherwise, without our prior written consent, and any attempt to do so is void. We may assign or transfer these Terms, in whole or in part, without restriction or notice, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. These Terms bind and benefit the parties and their permitted successors and assigns.
No Third-Party Beneficiaries. These Terms do not confer any rights on any third party, except that the Here & Safe Parties are intended third-party beneficiaries of Sections 9, 10, and 11.
Relationship of the Parties. Nothing in these Terms creates any partnership, joint venture, employment, fiduciary, or agency relationship between you and us.
Force Majeure. We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control.
Survival. Sections 2, 6, and 8 through 15, and any other provisions that by their nature should survive, will survive any termination of these Terms or your use of the Site.
Notices. We may provide notices to you using the contact information you provided or by posting them on the Site. You must send legal notices to us through the contact form on this page. The contact form is the designated method for submitting legal notices under these Terms.
Interpretation. Section headings are for convenience only and have no legal effect. The word “including” means “including without limitation.”
